9. Terms & Conditions

Payment Terms

Payment terms are FOB MacroAir facility (FOB Origin), with title and risk of loss transferring to Buyer upon shipment, unless otherwise specified in writing. All invoices are due Net 30 from the invoice date unless otherwise approved in writing.

If a credit card is used for payment, Buyer agrees to pay a 3.0% transaction fee (based on the gross payment amount).

Buyer is responsible for collecting payment from its customers.

Past due balances shall accrue a finance charge of 1.5% per month (or the maximum rate permitted under the Texas Finance Code), from the invoice date until paid in full.

Credit Authorization

By submitting this application, Buyer authorizes MacroAir Technologies, Inc. to obtain and verify credit information, including banking and trade references provided.

Financial Statements

MacroAir reserves the right to request financial statements at its discretion.

Additional Terms and Conditions

All invoices and sales are subject to these Terms and Conditions, which may be modified only in a written document signed by MacroAir. Any additional or conflicting terms contained in Buyer's purchase order, acknowledgment, or other documents are hereby rejected and shall not be binding unless expressly agreed to in writing by MacroAir.
Product warranties are governed solely by MacroAir's published warranty policy available on MacroAir's website or as otherwise provided in writing. All warranty obligations are expressly conditioned upon Buyer's payment in full of all amounts due, including any applicable fees or finance charges. Failure to timely pay shall suspend warranty coverage for the affected products, and the warranty period shall continue to run during any such suspension.
For Buyers located outside the United States, payment must be made by wire transfer unless otherwise agreed in writing. Buyer is responsible for all bank and transaction fees associated with such transfers.
Unless otherwise agreed in writing, all shipments are FOB Origin (MacroAir facility). Title and risk of loss pass to Buyer upon delivery to the carrier. Buyer is responsible for all freight, insurance, storage, handling, demurrage, and similar charges.
MacroAir shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, governmental actions, labor disputes, supply shortages, transportation failures, or natural disasters.
Except as expressly provided in writing, MacroAir disclaims all warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose.
MacroAir's liability for defective goods shall be limited, at its option, to repair, replacement, or refund of the purchase price of the affected goods. MacroAir shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption.
If credit is extended, MacroAir reserves the right to suspend or revoke credit at any time if Buyer fails to pay when due or if MacroAir reasonably determines that Buyer's financial condition has materially changed. In such event, MacroAir may require advance payment before further shipments.
All disputes arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association. The arbitration shall take place in Dallas, Texas, unless otherwise agreed in writing. Judgment on any award may be entered in any court of competent jurisdiction.
This Agreement may not be amended, modified, or waived except in a written document signed by an authorized representative of MacroAir.

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
